General Release and Indemnification Agreement


A) Company Information:

City Sniping Co.; is an interactive Non-Profit Oriented Outdoor Media Company based in Oakland, CA that is in the business of “posting up” advertising and promotional posters throughout the World. This gives companies and organizations who utilize this cost efficient Outdoor Poster Sniping medium, great advertising exposer; by literally having ‘millions’ of their posters place through out major urban centers around the Globe. City Sniping Co. is an interactive Outdoor Media Co. of just in time printing, publishing and EMAIL BLASTING MARKETING service throughout the World. We are America’s largest independently owned and operated Non-Profit Oriented interactive Poster Sniping Company.

B) Poster Sniping Payment and Services

For and in consideration of the completion of the attached proposal, City Sniping is to receive an initial non-refundable payment of 50% of the total due for the completion of this proposal, and a payment of the balance after authentication for the completion of the proposal is provided in the form of verifying photographs of the posters at the various posted sites. Receipt of the initial payment of 50% is to occur with signing of this agreement [For all international markets (or any deal/contract that have at least one international market in it), or clients outside of the USA. Also any domestic campaigns that have two or more markets; an initial payment of 80% of the total price of the contract/deal applies] This 50% rule only applies to our clients who pay our company regular market value "FULL RATE CARD PRICE(S)" for a domestic campaign consisting of only one market; using our company wild posting service. Any customer who receives any kind of price reduction off of our company 'Regular Rate Card' price for whatever reason(s) or having a Courtesy Repost of any kind, or if deal falls underneath any type of special offer: ( Ex: Special promotions programs, Get 2 for the price of 1 offer, Sales promotions, price reduction because of 'Targeted Neighborhood Campaigns",  etc, etc); must pay in full, up front the total cost of the campaign or new lower price. The 'Full Payment' must be received at least three weeks before the start of the customer ad campaign.     

C) Poster Sniping Term (duration of poster sniping activities)

Poster sniping term (period of duration) will be for approximately one month.

D) Printing and Production of Poster

City Sniping Co. will provide the printing of and distribution of up to 2000 poster per market; size 24” x 36” at no additional expense to the Promotional partner.

E) Promotional Partner Artwork

The promotional partner’s artwork will be supplied, at no expense to City Sniping Co. Artwork is guaranteed by the promotional partner to be readable in electronic form or in flat artwork as to allow for the timely reproduction of posters to be printed and distributed to the target market.

F) Authentication of Poster Sniping Services

Authentication of City Sniping Co.’s poster sniping services will consist of time/calendar-stamped photographs of the targeted market verifying sniping services. Authentication photographs will be submitted solely as proof of City Sniping Co.’s sniping services in the targeted market area.




G) Terms and Conditions

City Sniping Co. hereby releases, indemnifies, and forever discharges the promotional partner, and its clients, insurers, and all other persons, firms, corporations and tortfeasors, of and from any and all claims for personal injury, wrongful death, property damage, economic lose, attorney fees or punitive damages, which may arise out of, or in any way connected with the poster sniping activities of City Sniping Co. which would occur on behalf of the promotional partner. Furthermore, in consideration for said draft, and as a further consideration for the general release and indemnification, City Sniping Co. understands and agrees, represents and warrants as follows:

1. Liability for any act that may arise out of services provided by City
Sniping Co. will borne by City Sniping Co. This release and indemnification constitute a compromise between the parties, and the two installment payments made herein is not, and shall not , be construed as and admission of liability on the part of the promotional partner.

2. City Sniping Co. agrees to indemnity and hold harmless the promotional partner. The promotional partner’s insurers, and all other persons, firms, corporations associated with the promotional partner, form any loss incurred directly or indirectly by the services provided by City Sniping Co. This loss may include, but limited to monetary judgment, cost of litigation, and attorney’s fees.
3. By the signed execution of this release and indemnification, City Sniping Co. acknowledges that it relinquishes its right from bringing an action in any court of law concerning its liability on behalf of its promotional partner.
4. City Sniping Co. is hereby responsible for any and all liens, claims of liens, or assignments in law or equity, and against any future claims or causes of action of the promotional partner related to the services of City Sniping Co.
5. City Sniping Co. is not in the course or scope of employment by any other person, firm or corporation besides City Sniping Co. and will neither assert or collect upon any claim under worker’s compensation law.


This Release and Indemnification contains the entire agreement between the parties hereto. The terms of Release and Indemnification are contractual. This Release and Indemnification is executed without reliance upon representation by any other person concerning the nature or extent of City Sniping Co.’s damages or legal liability, Therefore, the undersigned has carefully read and understands the contents of this release and indemnification and signs the same as their own free act on behalf of the promotional partner. An initial payment of 50% of the total due is to be paid at the time of signing this Contract.
